Vendor Code of Conduct

CODE OF ETHICS AND PROFESSIONAL CONDUCT

This Code of Ethics and Professional Conduct sets out the principles that govern our business and our expectations for all of the third-party vendors of Atmos Financial, PBC (“Atmos” or the “Company”).

1. Honest and Ethical Conduct

All actions must be performed ethically and honestly and with the utmost integrity. Honest conduct means behavior that is free from fraud or deception, while ethical conduct conforms to accepted professional standards of conduct.

2. Conflicts of Interest

A conflict of interest exists where personal interests conflict, or appear to conflict, with the interests or benefits of the Company. Individuals must avoid using their position for improper personal benefits.

3. Transparency

Transparency ensures the free and open flow of ideas and engenders trust across all stakeholders. Vendors are expected to communicate openly and honestly in all dealings with Atmos Financial.

4. Mutual Respect

All individuals must behave in an honest, fair and respectful manner in their professional relationships, treating colleagues, partners, and vendors of Atmos Financial with dignity and courtesy.

5. Compliance

The Company maintains a policy to comply with all applicable laws, rules and regulations, and each individual and vendor is responsible for adhering to these standards in the course of their work with Atmos Financial.

6. Approved Equipment (AVL)

Where Atmos Financial maintains an Approved Vendor List (AVL) for a given equipment category, vendors must install or specify only equipment from a brand on that list. Approval is granted at the brand level, not by individual model or sub-component, and compatibility between components remains the vendor's responsibility. Requests to add a brand to an AVL must be submitted to Atmos for review. If no AVL exists for a given equipment category, the vendor is still expected to select equipment that is suitable for its intended use and legally permitted to be installed in that situation.

7. Loan Application Integrity

The loan application must be completed by the applicant. A vendor or sales representative may not fill out or submit an application on a customer's behalf. Representatives may not create a new or alternate email address for a customer to use to sign the contract, and may not substitute their own personal information (including email address, phone number, or other identifying details) for the customer's on any application or contract.

8. Payment Commencement & Project Delays

The customer's first monthly loan payment begins six months from the loan signature date, not substantial completion of installation. Vendors must promptly communicate any project delays to Atmos Financial, including details on the cause, regardless of reason.

9. Installation & Code Compliance

Projects must be designed and built in accordance with manufacturer installation guidelines, Authority Having Jurisdiction (AHJ) permitting rules, and, where applicable, utility interconnection requirements.

10. Consumer-Facing Conduct

Vendors must not engage in deceptive advertising, high-pressure sales tactics, or misrepresentation of pricing, incentives, financing terms, or expected equipment or system performance in any interaction with Atmos customers.

11. Contract Clarity

Any customer contract drafted or influenced by the vendor must use plain language, disclose all material terms (including cost, financing, warranty, and cancellation rights), and honor applicable rescission rights.

12. Advertising Accuracy

Any performance, savings, or efficiency claims made to customers (e.g., equipment efficiency ratings or energy savings estimates) must be factual, verifiable, and must not overstate expected results.

13. Anti-Bribery & Corruption

Vendors may not offer or provide bribes, kickbacks, or other improper payments to Atmos personnel, and may not make such payments on Atmos's behalf.

14. Labor, Health & Safety

Vendors must prohibit forced or child labor and must maintain safe working conditions on every job site.

15. Supply-Chain Flow-Down

Vendors must extend equivalent conduct standards to their own next-tier subcontractors and suppliers.
